Terms of Service & License Terms
These Terms govern your use of https://www.throughlinetrng.com (the “Site”) and any products purchased through it, including the Minnesota Cannabis Law — Chapter 342 Reference Guide (the “Guide”). The Site and Guide are operated by Throughline Training (“we,” “us,” or “Company”).
By using the Site or purchasing the Guide, you agree to these Terms. If you do not agree, do not use the Site or purchase the Guide.

This part governs your use of the Site itself.
1. Use of the Site
You may browse the Site for lawful purposes. You agree not to:
- Use the Site in any way that violates applicable law or regulation;
- Attempt to gain unauthorized access to the Site, any account, or any system or network connected to the Site;
- Interfere with or disrupt the Site, including by introducing malware or excessive automated requests;
- Scrape, harvest, or collect Site content for redistribution or resale;
- Impersonate any person or misrepresent your affiliation with any person or entity.
2. Site Content and Intellectual Property
All content on the Site — including text, graphics, logos, layout, and design — is owned by the Company or its licensors and is protected by copyright and other intellectual property laws. You may view and print Site pages for personal, non-commercial reference, but you may not reproduce, distribute, modify, or create derivative works from Site content without prior written permission.
3. Accounts
If the Site offers user accounts, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
4. No Professional Advice
Information published on the Site is provided for general informational purposes only. It is not legal, tax, financial, medical, or other professional advice. Consult a qualified professional before acting on anything you read here.
5. Third-Party Links
The Site may contain links to third-party websites. We do not control and are not responsible for the content, accuracy, or practices of those sites. Your use of any third-party site is at your own risk.
6. Site Availability
We make reasonable efforts to keep the Site available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Site or any feature at any time without notice.
This part governs the Minnesota Cannabis Law — Chapter 342 Reference Guide specifically. By purchasing the Guide, you agree to the additional terms in this Part.
7. License Grant
Upon purchase, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Guide subject to these Terms.
7.1 Single Licensee
One license covers one individual or one business entity. The license is granted to the purchaser identified at checkout (the “Licensee”).
- If the Licensee is an individual, the license is for that individual’s personal or professional use.
- If the Licensee is a business entity, the license extends to the entity’s employees, and to outside professionals (such as attorneys, accountants, and consultants) acting on behalf of the entity, solely for the entity’s internal business purposes.
7.2 Permitted Uses
Subject to these Terms, the Licensee may:
- Use the Guide for internal reference;
- Store the Guide on the Licensee’s own devices and internal systems;
- Print copies of the Guide for the Licensee’s internal use.
7.3 Prohibited Uses
The Licensee may not:
- Share, distribute, transmit, or grant access to the Guide to anyone outside the licensed individual or entity;
- Post the Guide on any public or semi-public website, intranet accessible to non-employees, file-sharing service, or social platform;
- Resell, sublicense, lease, or rent the Guide;
- Include the Guide, in whole or in part, in any derivative product, course, training material, or compilation offered to third parties;
- Remove, alter, or obscure any copyright notice, license notice, or disclaimer contained in the Guide.
7.4 Non-Transferability
The license is non-transferable. The license cannot be sold, assigned, or transferred to any other person or entity, including in connection with the sale, merger, acquisition, or dissolution of the Licensee’s business. A successor entity must purchase a new license.
8. Subscription Term
The Guide is sold as an annual subscription. Each license is valid for twelve (12) months from the date of purchase (the “Subscription Term”).
9. Updates
The Company will release updated versions of the Guide within one (1) month after the close of each Minnesota legislative session, including both regular and special sessions, that results in changes to Minnesota Statutes Chapter 342 or its implementing rules.
During an active Subscription Term, the Licensee will receive each update by email at the address provided at purchase. Update emails will include:
- A written summary of the legislative or regulatory changes incorporated into the update; and
- The updated Guide as an attachment.
Updates are included at no additional cost during the Subscription Term.
10. Renewal
Subscriptions may be renewed for additional twelve (12) month terms at twenty percent (20%) off the then-current purchase price.
10.1 Renewal Reminders
The Company will send renewal reminders to the email address on file:
- Approximately thirty (30) days before the Subscription Term expires; and
- Approximately seven (7) days before the Subscription Term expires.
10.2 Grace Period
The 20% renewal discount is available for sixty (60) days after the Subscription Term expires (the “Grace Period”). Renewals during the Grace Period restore access to current updates. Renewals received after the Grace Period are treated as new purchases at the full current price.
10.3 Each Renewal Is a New Purchase
Each renewal is treated as a new purchase. The new Subscription Term runs for twelve (12) months from the renewal date.
11. Non-Renewal
If a Licensee does not renew before or during the Grace Period:
- The Licensee may continue to use the most recent version of the Guide they received, indefinitely, subject to all other terms of this license;
- The Licensee will no longer receive updates, change summaries, or related communications;
- All other obligations of this license — including the prohibitions on sharing, redistribution, and transfer — remain in effect.
12. Disclaimer of Warranties
The Guide is provided “as is” and “as available.” To the fullest extent permitted by law, the Company disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.
The Guide reflects the Company’s good-faith summary and organization of Minnesota Statutes Chapter 342 as of the date noted in the Guide. Cannabis law changes frequently. The Company does not warrant that the Guide is current, error-free, or suitable for any specific compliance, regulatory, or legal purpose. The Licensee is solely responsible for verifying current law and consulting qualified counsel before making any decision based on the Guide.
13. Limitation of Liability
To the fullest extent permitted by law, the Company’s total liability under or relating to this license is limited to the amount paid by the Licensee for the Guide. The Company is not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost business, regulatory penalties, fines, attorneys’ fees, or damages arising from reliance on the Guide.
14. Refunds
All sales are final, except that the Company will issue a refund within thirty (30) days of purchase if the Guide file is rendered unusable by a technical defect that the Company cannot resolve. Refund requests should be sent to al.dreumont@throughlinetrng.com.
15. Termination for Breach
The Company may terminate this license immediately, without refund, if the Licensee materially breaches these Terms — including by sharing the Guide outside the licensed entity or attempting to transfer the license. Upon termination for breach, the Licensee must cease all use of the Guide and delete all copies in their possession.
16. Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
17. Governing Law and Venue
This license is governed by the laws of the State of Minnesota. Any disputes shall be resolved in the state or federal courts located in Ramsey County, Minnesota. Each party consents to the personal jurisdiction of those courts and waives any objection to venue.
18. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent version. Material changes will be communicated through the Site or by email. Existing licenses are governed by the version of these Terms in effect at the time of purchase; new purchases and renewals are governed by the then-current version.
19. Entire Agreement
These Terms, together with the Privacy Policy and any order confirmation, constitute the entire agreement between the Licensee and the Company regarding the subject matter and supersede any prior agreements or understandings.
20. Severability
If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect.
21. No Waiver
Failure by the Company to enforce any provision of these Terms is not a waiver of that provision or any other provision.
